These Additional Terms and Conditions for Amazon Workspaces Subscriptions (the "Additional Terms") are entered into effective as of the date on which You accept the Additional Terms and are by and between Ingram Micro Inc., a Delaware corporation, if you live in the United States, or Ingram Micro Global Services B.V., a Dutch company if you live in any other country ("Ingram Micro"), and you ("You", "Your").
The Additional Terms apply to Your purchase and use of Amazon Workspaces. This Agreement is in addition to other terms you agree to through the Site, including, but not limited to, Ingram Micro's General Terms of Service. Capitalized terms used in these Additional Terms but not defined herein have the meaning given to such terms in the other terms you agree to through the Site.
Your Workspaces subscription ("Subscription") will start once provisioned through the Site. Trial Subscriptions are available for the term indicated in the registration process and that appear on the Site. Paid Subscriptions are available for a minimum commitment of one (1) month and will auto renew for an additional one (1) month, unless You cancel the Subscription prior to the expiration of the term commitment for the paid Subscription. If You terminate your use of the Subscription prior to the expiration of the term commitment for the selected service, You will remain responsible to Ingram Micro for all remaining and accrued charges for such Subscription pursuant to the selected term commitment.
You agree to pay the fees and charges for the Subscriptions as outlined in the registration process and that appear on the Site, as may be amended from time to time. If You exceed the usage limits applicable to the Subscription, You agree to pay for the fees and charges for such over usage. For any extension of a Subscription term or the provisioning of a Subscription upgrade, the then-current price will apply, unless otherwise mutually agreed in writing by You and Ingram Micro. Ingram Micro, may, from time to time in its sole discretion, change the fees it charges for the Subscription. Any increase in the fees will take effect at the beginning of the new Subscription term. Ingram Micro will notify You of any such changes by updating the Site or sending notice by e-mail or regular mail.
All purchases are subject to the sales terms set forth at http://www.ingrammicrocloud.com/amazon-workspaces/tc and service setup information, including but not limited to pricing, (where applicable) set forth in the Site. For the avoidance of doubt, notwithstanding the presence or acceptance by Ingram Micro of Your order, such shall be for administrative purposes only and the parties agree that the governing terms and conditions shall be those set forth at http://www.ingrammicrocloud.com/amazon-workspaces/tc unless otherwise agreed to in writing by Ingram Micro and You.
The Workspaces product is provided by Amazon. By installing or using Amazon WorkSpaces, you agree to the Amazon WorkSpaces Application License Agreement (https://clients.amazonworkspaces.com/app-terms.html), AWS Customer Agreement (https://aws.amazon.com/agreement/), AWS Service Terms (https://aws.amazon.com/service-terms/), and AWS Privacy Notice (https://aws.amazon.com/privacy/). If You already have an AWS Customer Agreement, You agree that the terms of that agreement also govern Your download and use of the Workspaces product.
